These Terms of Service (the "Terms") govern your access to and use of the Merry Amazon Seller ERP management service, websites, software, dashboards, reports, support channels, and related services provided by Next Generation Artificial Intelligence Gaming Labs Inc. (hereinafter "the Company" or "we/us").
Please read these Terms carefully before registering an account or using our services. By creating an account, connecting an Amazon seller account, clicking to accept these Terms, or otherwise using Merry, you confirm that you have read, understood, and agreed to be bound by these Terms. These Terms are governed by the laws of the United States of America. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the federal or state courts located in the State of Delaware.
§01 — About These Terms
Scope of These Terms
These Terms apply to all access to and use of Merry, including the Merry official website, account registration, ERP features, Amazon Selling Partner API authorization, dashboards, reports, alerts, customer service, documentation, and any other related functions we provide. If you use Merry on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms.
Related Policies
Our Privacy Policy explains how we collect, use, store, protect, and delete personal information and business data. The Privacy Policy is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding personal information processing, the Privacy Policy controls for that specific matter.
Acceptance and Legal Effect
These Terms constitute a legally binding agreement between you and the Company. If you do not agree to these Terms, you must not register for, access, connect accounts to, or use Merry. Continued use of Merry after any lawful update to these Terms constitutes acceptance of the updated Terms.

Products and Services
Merry is an ERP management system designed specifically for Amazon sellers. Merry helps users manage and analyze core business processes including order fulfillment, inventory levels, sales and profit reports, advertising data, product information, procurement, logistics, and related operational workflows. Some features depend on your authorization of third-party platforms, including Amazon Selling Partner API permissions.
Business Users
Merry is intended for business and professional use. It is not designed for personal, household, or consumer use, and is not intended for minors. You are responsible for ensuring that your use of Merry complies with the laws and platform rules applicable to your business.
§03 — Accounts and Access
Account Registration
To use certain Merry features, you must create an account and provide accurate, complete, and current information. You agree to promptly update your account information when it changes. We may reject, suspend, or terminate accounts that contain false, misleading, outdated, or unauthorized information.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly notify us if you suspect unauthorized access, credential compromise, or any security incident involving your Merry account.
Authorized Users
If your account permits multiple team members or role-based access, you are responsible for managing permissions and ensuring that each authorized user complies with these Terms. You are responsible for actions taken by your authorized users within Merry.
§04 — Platform Authorization and User Data
Third-party Authorizations
Certain Merry features require you to authorize access to Amazon seller account data or other third-party platform data. You represent that you have the right to grant such authorization and that your authorization does not violate any agreement, law, or platform policy applicable to you.
Use of Authorized Data
We use authorized business data only to provide and improve Merry, perform your requested workflows, maintain security, troubleshoot issues, comply with law, and fulfill the purposes described in our Privacy Policy. We do not claim ownership of your business data.
Your Responsibilities
- You are responsible for the accuracy, legality, and integrity of the data you submit, upload, import, or authorize Merry to access.
- You must not use Merry to process data that you are not legally permitted to process.
- You must maintain any required notices, permissions, and consents for data associated with your business operations.
§05 — Acceptable Use
You agree to use Merry only for lawful business purposes and in accordance with these Terms, applicable law, Amazon policies, and any documentation or usage limits we provide.
Prohibited Conduct
- Attempting to gain unauthorized access to Merry, other users' accounts, systems, networks, source code, credentials, or data.
- Interfering with, disrupting, overloading, scanning, scraping, reverse engineering, or compromising Merry or its infrastructure.
- Using Merry to transmit malware, spam, fraudulent content, infringing material, or unlawful data.
- Bypassing usage limits, security controls, authentication, authorization checks, or account restrictions.
- Using Merry in a way that violates Amazon policies, third-party platform rules, export controls, sanctions laws, or applicable data protection laws.
Enforcement
We may investigate suspected violations and may suspend or restrict access where necessary to protect Merry, other users, third-party platforms, or the Company. Where commercially reasonable and legally permitted, we will provide notice of significant enforcement actions.
§06 — Fees, Plans, and Payment
Subscription Plans
Merry may offer free trials, paid subscriptions, usage-based features, custom enterprise plans, or promotional offers. Plan details, included features, usage limits, pricing, billing cycles, and renewal rules are displayed on the relevant order, pricing, invoice, or account pages.
Payment Obligations
If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges in accordance with the payment terms presented to you. Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed in writing by the Company.
Changes to Fees
We may update pricing or plan features from time to time. For existing paid subscriptions, material pricing changes will take effect at the next renewal period or after reasonable prior notice, unless a separate written agreement states otherwise.
§07 — Service Availability and Changes
Availability
We use commercially reasonable efforts to keep Merry stable, secure, and available. However, Merry may be unavailable from time to time due to maintenance, upgrades, network issues, cloud provider outages, force majeure events, security incidents, or circumstances beyond our reasonable control.
Feature Changes
We may add, modify, suspend, or discontinue features to improve Merry, comply with law or platform requirements, address security risks, or reflect changes in third-party APIs. If a material change substantially reduces the core functionality of a paid plan, we will use reasonable efforts to provide advance notice where practicable.
Third-party Dependencies
Merry may depend on services, APIs, infrastructure, and data made available by third parties, including Amazon and cloud service providers. We are not responsible for third-party outages, policy changes, API limitations, data inaccuracies, or account restrictions imposed by those third parties.
§08 — Intellectual Property
Company Materials
Merry, including its software, interface design, workflows, documentation, reports, trademarks, logos, visual assets, and related technology, is owned by the Company or its licensors and is protected by intellectual property and other laws. Except for the limited right to use Merry under these Terms, no rights are transferred to you.
Your Data
You retain ownership of your business data, account content, and materials you submit to Merry. You grant the Company a limited, non-exclusive, worldwide license to host, process, transmit, display, and use your data solely as necessary to provide, secure, maintain, and improve Merry and to comply with applicable law.
Feedback
If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant the Company the right to use that feedback without restriction or compensation, provided that we do not disclose your confidential information in doing so.
§09 — Confidentiality and Security
Confidential Information
Each party may receive non-public business, technical, financial, operational, or security information from the other party. The receiving party agrees to use such confidential information only for purposes of performing under these Terms and to protect it using reasonable care.
Security Measures
We implement technical and organizational measures designed to protect Merry and user data, including encryption in transit, access controls, credential protection, monitoring, and security review practices. No system is completely secure, and you are responsible for implementing appropriate security practices on your side.
Security Notifications
If we become aware of a security incident that materially affects your account or data, we will notify you as required by applicable law and our Privacy Policy. You agree to promptly notify us of security incidents or vulnerabilities you discover in connection with Merry.
§10 — Disclaimers and Limitation of Liability
No Professional Advice
Merry provides operational tools, reports, calculations, and analytics for business management. Merry does not provide legal, tax, accounting, financial, logistics, or marketplace compliance advice. You should independently verify important decisions and consult qualified professionals where appropriate.
Disclaimer of Warranties
To the maximum extent permitted by law, Merry is provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and error-free performance.
Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of goodwill, loss of data, or cost of substitute services. Except where prohibited by law, the Company's total liability arising out of or relating to these Terms or Merry shall not exceed the amount you paid to the Company for Merry during the three months preceding the event giving rise to the claim.
§11 — Suspension, Termination, and Data Export
Termination by You
You may stop using Merry or request account deletion at any time. If you have a paid plan, cancellation takes effect according to the applicable plan terms. Account deletion and data deletion are handled in accordance with our Privacy Policy and applicable legal retention requirements.
Suspension or Termination by Us
We may suspend, restrict, or terminate your access if you materially breach these Terms, fail to pay fees when due, create security or legal risk, violate third-party platform requirements, or use Merry in a way that may harm the Company, other users, or third parties. We may also terminate inactive free accounts after reasonable notice where practicable.
Effect of Termination
Upon termination, your right to access Merry ends. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, dispute resolution, and provisions necessary to enforce these Terms.

Changes to These Terms
